    Terms of Use

    These Terms of Use ("Terms") are a binding agreement between you and AuraCode Studios LLC, a Texas limited liability company operating as ProMatch ("ProMatch", "we", "us"). Please read them carefully. Section 16 contains a binding arbitration agreement and class-action waiver.

    1. Acceptance & Eligibility

    By accessing or using ProMatch you agree to these Terms. If you do not agree, do not use the service. You must be at least 18 years old. If you use ProMatch on behalf of a business, you confirm you are authorized to bind that business, and "you" includes the business.

    2. ProMatch Is a Marketplace Only

    ProMatch is an online platform that helps homeowners find and contact independent contractors. ProMatch is not a contractor, employer, agent, broker, or insurer. We do not perform, supervise, direct, or control any work, do not set prices, and are not a party to any agreement between homeowners and contractors. Contractors are independent businesses and are not employees or agents of ProMatch. Any agreement, payment, or dispute regarding work is solely between the homeowner and the contractor.

    3. AI Matching & Information Disclaimer

    Matches, rankings, scores, and badges (including "Top Pro", "Verified", license status, and "Possible match") are generated automatically, partly by artificial intelligence, and are provided for information only. They are not endorsements, recommendations, or guarantees of quality, licensing, insurance, or fitness for any job, and may be incomplete or inaccurate. Promoted or Premium listings may receive greater visibility. You are solely responsible for independently verifying a contractor's credentials, licenses, insurance, references, and required permits before hiring.

    4. Accounts & Security

    You must provide accurate, current information and keep it up to date. Each person may hold only one account. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us promptly of any unauthorized use.

    5. Contractor Obligations

    • Hold and maintain all licenses, registrations, bonds, and insurance required for the services you offer.
    • Ensure all profile information — including licenses, certifications, photos, and service areas — is accurate and belongs to you.
    • Comply with all applicable laws, including consumer protection, licensing, safety, and anti-discrimination laws.
    • Provide honest quotes and perform work in a professional, workmanlike manner.
    • You are solely responsible for your own taxes, permits, employees, and subcontractors.

    We may verify license information where possible but do not guarantee its accuracy or that it remains current.

    6. User Content & Reviews

    You keep ownership of content you submit (profiles, photos, messages, reviews). You grant ProMatch a worldwide, non-exclusive, royalty-free license to host, display, reproduce, adapt, and distribute that content to operate and promote the service. You confirm you have the rights to everything you upload. Reviews must reflect genuine first-hand experience; paid, incentivized, fake, or retaliatory reviews are prohibited. We may moderate, refuse, or remove any content at our discretion, but we do not endorse user content and are not responsible for it.

    7. Subscriptions, Billing & Payments

    ProMatch offers a free Basic plan and paid Premium plan(s), billed monthly or annually. Paid plans renew automatically at the end of each billing period at the then-current price until cancelled. Payments are processed by our third-party payment processor, Stripe; ProMatch does not store your full card details. You authorize recurring charges to your payment method. If a payment fails, we may retry the charge, and your account may be moved to the Basic plan. Prices exclude applicable taxes unless stated otherwise.

    Pricing is subject to change. We may modify pricing, plan features, or introduce new tiers. In the event of a pricing change:

    • We will provide at least 30 days' advance notice via email to the address associated with your account.
    • Changes take effect at the start of your next billing cycle following the notice period.
    • If you do not agree, you may cancel or downgrade to Basic before the change takes effect.
    • Continued use of a paid plan after the effective date constitutes acceptance of the updated pricing.

    8. Cancellation of Premium Subscriptions

    • You may cancel your Premium subscription at any time from the Subscription section of your contractor profile or through the billing portal.
    • Cancellation takes effect on your next renewal date. Your Premium features remain active until the end of the current paid billing period, you will not be charged again, and your account then automatically returns to the free Basic plan.
    • For annual plans, cancellation takes effect on the annual renewal date.
    • No refunds or credits are provided for partial billing periods or unused time, except where required by law.
    • If you cancel during a promotional free period, Premium ends when the free period ends and you are not charged.
    • You may re-subscribe at any time at the then-current price. Promotional offers are limited to one per contractor and are not renewed by re-subscribing.
    • ProMatch may cancel or suspend a subscription for violation of these Terms; in that case no refund is owed.

    9. Promotional Offers

    From time to time ProMatch may offer limited-time promotions, such as a free Premium period. Each promotion can be claimed once per contractor and may not require a payment method to start. If no payment method is on file when the free period ends, your account returns to the free Basic plan and you are not charged. ProMatch may end a promotion at any time; contractors already in a free period keep it until it ends.

    10. Prohibited Conduct

    • Providing false, misleading, or impersonating information
    • Posting fake, paid, or incentivized reviews, or manipulating rankings
    • Harassment, threats, discrimination, or abusive behavior
    • Spam, unsolicited advertising, or misuse of contact information obtained on the platform
    • Scraping, crawling, or collecting data by automated means without permission
    • Uploading malware, illegal content, or content you lack rights to
    • Abusing, overloading, or attempting to reverse-engineer the service or its AI features
    • Circumventing fees, subscriptions, or security controls
    • Any illegal activity or violation of applicable laws

    11. Suspension & Termination

    We may suspend, restrict, or terminate your account or access at any time, with or without notice, if we believe you have violated these Terms or created risk or legal exposure for ProMatch or others. You may close your account at any time. Sections that by their nature should survive termination (including 6, 12–19) will survive.

    12. Third-Party Services

    The service relies on third parties such as payment processors, mapping, sign-in, and verification providers. Your use of those services is governed by their own terms, and ProMatch is not responsible for them.

    13. Disclaimer of Warranties

    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CONTRACTOR, MATCH, OR INFORMATION WILL MEET YOUR NEEDS.

    14. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMATCH AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. PROMATCH IS NOT LIABLE FOR THE ACTS, OMISSIONS, WORK QUALITY, SAFETY, OR LEGALITY OF ANY CONTRACTOR OR USER, INCLUDING PERSONAL INJURY, PROPERTY DAMAGE, OR FINANCIAL LOSS. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID TO PROMATCH IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) $100.

    15. Indemnification

    You agree to defend, indemnify, and hold harmless ProMatch and its owners, officers, employees, and agents from any claims, losses, damages, and expenses (including reasonable attorneys' fees) arising from your use of the service, your content, any work you perform or hire, or your violation of these Terms or the law.

    16. Dispute Resolution & Arbitration

    Before filing a claim, you agree to contact us and try to resolve the dispute informally for at least 30 days. If unresolved, any dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its consumer rules, rather than in court, except that either party may bring an individual claim in small-claims court. You and ProMatch waive any right to a jury trial and to participate in a class or representative action. You may opt out of this arbitration agreement by emailing admin@promatch.app within 30 days of first accepting these Terms.

    17. Governing Law & Venue

    These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules, and applicable U.S. federal law. Any claim not subject to arbitration must be brought exclusively in the state or federal courts located in the State of Texas, and you consent to the personal jurisdiction of those courts.

    18. Privacy

    Your use of ProMatch is also governed by our Privacy Policy.

    19. General

    These Terms are the entire agreement between you and ProMatch regarding the service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. We are not liable for delays or failures caused by events beyond our reasonable control.

    20. Changes to Terms

    We may update these Terms from time to time. For material changes we will provide notice by email or on the site. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.
